Terms of Engagement
These terms of engagement (“Terms”) apply to all services delivered and products supplied by us, Cyber Tribe for you, the customer.

In the event of any inconsistency between the specific terms and the Terms of Service, the specific terms will prevail to the extent of that inconsistency.
In the event an individual agreement is not supplied by Cyber Tribe to you, the customer, this agreement shall come into effect.
Managed Services & Software Licensing
1.0 Overview
Cyber Tribe agrees to provide services and sales according to the terms set out in this agreement to the Customers.
This Managed Services & Software Licensing Agreement (the “Agreement” or “Managed Services & Software Licensing Agreement” states the terms and conditions that govern the contractual agreement between Cyber Tribe Ltd and its customers, who will be issued individual terms of agreement upon request of Managed Services and/or software sales and licensing.
2.0 Services
We provide to you managed services and/or software sales and licensing according to your needs and requirements. Cyber Tribe will charge for the services and products we supply and deliver the services and products according to the terms stipulated in your individual agreement.
3.0 Commencement date
Any agreement shall commence on the date the agreement is signed by both parties.
4.0 Term
Any agreement shall cover a time period which will be determined in consultation with you, the customer, commencing upon the acceptance of the agreement. Preferred term contracts are 12/24/36 months in duration and will be applied according to your needs. The term is subject to change and acceptance must be discussed and agreed by both parties and documented in an amended written agreement. If an individual agreement is not supplied, the default agreement term is 12 months from commencement.
5.0 Termination
Notice to terminate may be given at any time. If termination is requested within the term of the agreement, the full amount owed must be paid within the terms of the agreement. Notice of non-renewal of services must be given within two (2) months of the end of the term.
6.0 Invoices & Payment
Invoices will be sent once per month at the end of each calendar month in which we have provided the services. Invoices are due and payable on receipt. If you encounter difficulty in paying an invoice, please get in touch with the team at Cyber Tribe. If an invoice is unpaid for more than 30 days, or more than 20 days without communication regarding the delays, Cyber Tribe reserves the right to cease providing the Services and Deliverables to you.
Without limiting any of our other rights, invoices that are not paid for 30 days from the due date of the invoice will accrue interest calculated on a daily basis at a rate of 5% per month.
7.0 Charges
Managed Services and Software Licenses provided are charged on a per unit basis, per month. For example, this unit basis may be per user, per device or per item and will be stipulated in the specific service provider terms, which may be provided to you on request. No fixed-price agreements will be entered into unless expressly arranged and agreed in advance. All rates exclude GST.
